These Terms and Conditions govern your use of pronkoconsulting.com and any purchase of extensions or engagement of services offered by Pronko Consulting. By accessing this website or purchasing from us, you agree to these terms.
1. Who We Are
Pronko Consulting is a Magento and MageOS development agency based in Dublin, Ireland. References to "we", "us", or "our" throughout these terms refer to Pronko Consulting.
2. Extensions
2.1 License Grant
When you purchase a Magento extension from us, we grant you a non-exclusive, assignable, perpetual license to install and use that extension on your website(s) and server(s). This license includes the right to create derivative works based on the extension for your own use, but not to distribute those derivative works. Free and open-source extensions are licensed under their respective open-source licenses as stated in each extension's repository.
2.2 Permitted Use
Under this license you may:
- Install and run the extension on your own website(s) and server(s);
- Allow developers or agencies working on your behalf to access and configure the extension;
- Modify the extension's source code to suit your own needs;
- Create derivative works for your own internal use.
2.3 Restrictions
You may not:
- Resell, sublicense, or distribute the extension or its source code as a standalone product;
- Use the extension as the primary basis of a product or service sold to third parties;
- Transfer the license to another party without following the assignment process in clause 2.4.
2.4 Assignability
You may assign your rights and obligations under this license to a third party — for example, when selling your business or transferring a Magento store — provided the receiving party accepts these terms in full and notifies us in writing of the assignment.
2.5 Updates, Fixes and Upgrades
We may provide updates, fixes, or upgrades at our discretion. Version numbering works as follows:
- Fix (e.g. 1.1.1 → 1.1.2): addresses bugs or minor defects. Provided free of charge.
- Update (e.g. 1.1.x → 1.2.0): minor improvements or new minor features. Provided free of charge.
- Upgrade (e.g. 1.x.x → 2.0.0): major new features or significant changes. May be available for separate purchase.
Nothing in these terms obligates us to issue any specific fix, update, or upgrade.
2.6 Support
Paid extensions include one year of support from the date of purchase, provided via email at info@pronkoconsulting.com on regular business days and hours. Support covers defects in the extension code itself. It does not cover installation, custom configuration, or conflicts caused by third-party extensions or customised Magento installations.
2.7 Bug Reports
If you find a bug or defect, please report it to us at info@pronkoconsulting.com with as much detail as possible, including steps to reproduce and any relevant screenshots. We aim to respond to verified bugs within regular business hours.
2.8 Feature Requests
We welcome feature suggestions. Submitting a request does not create any obligation for us to implement it, and we retain full ownership of any features we choose to develop.
2.9 Refunds
Extensions are delivered digitally. If you are purchasing as a business, we do not offer refunds as a general rule. If our support team cannot resolve a verified technical defect in the extension, a refund will be considered on a case-by-case basis — contact us at info@pronkoconsulting.com with full details of the issue.
If you are a consumer purchasing under Irish or EU law, your statutory rights are not affected by these terms.
2.10 Intellectual Property
We warrant that our extensions do not, to the best of our knowledge, infringe any third-party intellectual property rights, patents, or trademarks.
2.11 No Warranty
Except as stated in clause 2.10, extensions are provided "as is". We disclaim all other warranties, express or implied, including fitness for a particular purpose and merchantability. Extensions are tested against the Magento and MageOS versions listed on each product page at time of release — we do not guarantee compatibility with future platform versions, customised installations, or third-party extensions. Test in a staging environment before deploying to production.
2.12 Liability
To the fullest extent permitted by law, our liability for any claim relating to an extension is limited to the amount you paid for that extension. We are not liable for indirect or consequential losses including lost revenue, lost data, or business interruption.
3. Services
3.1 Scope of Work
All development and consulting engagements are governed by a separate Statement of Work or project agreement agreed in writing before work begins. These terms apply where no separate agreement exists or where a separate agreement does not address a particular matter.
3.2 Change Requests
Any changes to agreed scope must be requested in writing. We will provide an updated estimate before proceeding. We reserve the right to adjust timelines and fees to reflect approved scope changes.
3.3 Payment
Invoices are due within 14 days of issue unless otherwise agreed in writing. Late payments may incur interest at the rate provided for under the European Communities (Late Payment in Commercial Transactions) Regulations 2012. We reserve the right to pause work on overdue accounts.
3.4 Intellectual Property
Upon receipt of full payment for a project, all custom code and deliverables created specifically for your project are assigned to you. We retain the right to reuse general-purpose techniques, patterns, and non-client-specific code developed during the engagement. Any pre-existing Pronko Consulting tools, frameworks, or extensions incorporated into your project remain our property and are licensed to you for use within the delivered project.
3.5 Confidentiality
We treat all client project information as confidential and will not disclose it to third parties without your consent, except where required by law. We may reference your company name and a general description of the work as a case study or portfolio item unless you request otherwise in writing.
3.6 Liability
Our total liability for any claim arising out of or in connection with a services engagement is limited to the fees paid by you for the specific project giving rise to the claim. We are not liable for indirect, consequential, or loss-of-profit damages.
4. Website Use
This website is provided for informational purposes. You may not use it to transmit harmful, unlawful, or unsolicited content. We reserve the right to change, suspend, or discontinue any part of the website at any time without notice.
5. Governing Law
These terms are governed by the laws of Ireland. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the Irish courts.
6. Changes to These Terms
We may update these terms from time to time. The current version is always available at pronkoconsulting.com/terms. Continued use of the website or our services after a change constitutes acceptance of the updated terms.
